PLEASE CAREFULLY READ THE FOLLOWING TERMS OF SERVICE AND PRIVACY POLICY OF ALLSHARE INTERNATIONAL LLC (“ALLSHARE”, THE “COMPANY”, “WE”, OR “US”), BEFORE USING: WWW.ALLSHARE.LIFE, ALL RELATED WEBSITES AND RELATED MOBIL APPLICATIONS (COLLECTIVELY, THE “SITE”), OR PURCHASING ANY PRODUCTS OR SERVICES FROM ALLSHARE (COLLECTIVELY, THE “OFFERINGS”). In order to enjoy all the benefits of the Site, you must register and become a member. You may visit the Site without registering. All users of this Site agree that access to and use of this Site is subject to the following terms and conditions, the Privacy Policy, and other applicable law.
You agree that by using this Site and registering for membership, you are at least 18 years of age if you are a resident of the United States or otherwise the age of majority in your jurisdiction of residence.
It is your responsibility to review these Terms of Service periodically. We may revise these Terms of Service at any time without notice to you. If you do not agree to these terms and conditions, please do not use this Site or participate in any of the offerings.
1. Site
We grant you a limited license to access and use the Site for your personal use, and to copy, distribute, transmit and print the content of this Site only to the extent that such copying, distribution and transmission is automatically done through your browser software incidentally to using the Site for your personal use. This license does not include any resale or commercial use of this Site or its contents; any collection and use of any product listings or descriptions; any derivative use of this Site or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots or data gathering and extraction tools.
Except as permitted above, this Site or any portion of this Site may not be reproduced, duplicated, copied, sold, resold, visited or otherwise exploited for any commercial purpose without express written consent of Allshare. You may not use any meta tags or any other “hidden text” utilizing Allshare’s name or trademarks without the permission or license granted by Allshare.
We reserve the right to change any information, features and functions of the Site without prior notice. We may refuse service, cancel orders, terminate accounts and/or deny access to any or all parts of this Site if you engage in any conduct or activities that we determine, in our sole discretion, violate these Terms of Service, our rights or the rights of any third party. Use of the Site for any illegal or unauthorized purpose is strictly prohibited. We reserve the right to cancel orders due to suspected fraudulent activity in our sole discretion. The sale or linking of our products on or to any third party e-commerce site, marketplace or mobile application without our specific written consent is prohibited.
2. Registration and Membership
To register and become a member of our Site, complete the registration form by providing information such as your valid email address and creating a password to register your profile. You may also login to your account using your Allshare Identification Number.
Each time you use your password or identification, you will be deemed to be authorized to access and use the Site in a manner consistent with these Terms of Service and The Allshare Company has no obligation to investigate the authorization or source of any such access or use of the Site.
YOU WILL BE SOLELY RESPONSIBLE FOR ALL ACCESS TO AND USE OF THIS SITE BY ANYONE USING YOUR PASSWORD AND IDENTIFICATION WHETHER OR NOT SUCH ACCESS TO AND USE OF THIS SITE IS ACTUALLY AUTHORIZED BY YOU, INCLUDING WITHOUT LIMITATION, ALL COMMUNICATIONS AND TRANSMISSIONS AND ALL OBLIGATIONS (INCLUDING, WITHOUT LIMITATION, FINANCIAL OBLIGATION) INCURRED THOURGH SUCH ACCESS OR USE.
You are solely responsible for protecting the security and confidentiality of your password and identification. You shall immediately notify us of any unauthorized use of your password or identification or any other breach or threatened breach of this Site’s security.
At the time of your first order on the Allshare Services, we will request your shipping and payment information. Where permitted by applicable law, you agree that we may update your payment information with information your bank or credit card issuer may supply, or other information available to us. All such personal information is subject to our Privacy Policy, which is hereby incorporated into these Terms of Service.
As a registered member of the Site, we may send you emails promoting any special offer(s), including third party offers, as well as monthly newsletters, unless you opt-out at any time, by emailing us at support@allshare.life indicating that you would like to unsubscribe from marketing emails.
3. Bundles
You may log into your account and customized your Bundle at any time. If you do not update your selections for a particular month, we will send you the same shipment we sent the previous month, subject to availability.
We will charge your bank or credit card when we ship your first order. The same day of every month you will be charged for the Bundle value, plus applicable taxes and shipping & handling (depending on your Bundle), until you choose to cancel or change the shipping frequency of your Bundle subscription.
You may cancel your Bundle Subscription(s) at any time. To cancel your Bundle subscription(s), you can do so online at any time (in your account settings) or by calling Allshare Support at 1.646.613.1388 Monday – Friday 10am – 6pm Eastern. Please note: Bundle subscriptions cannot be cancelled via email, Facebook or other forms of social media.
4. Billing and Payments on the Allshare Services
We accept the following bank or credit cards: Visa, MasterCard, American Express and Discover. For your convenience, we will save your bank or credit card information.
You may be charged local tax, if applicable. If your payment method is declined, we will attempt to process your charge until the transaction is approved. We and our third party payment service providers may request, and we may receive, updated credit card information from your credit card issuer, such as updated card numbers and expiration date information when your credit card has expired. If such updated information is provided to us and our third-party payment service providers, we will update your account information accordingly, and will use such updated information to process payments for your future purchases and subscriptions. Your credit card issuer may give you the right to opt out of providing vendors and third-party payment service providers with your updated credit card information. If you wish to opt out of your credit card’s updating service, you should contact your credit card issuer.
We are not responsible for any fees or charges that your bank or credit card issuer may apply. If your bank or credit card issuer reverses a charge to your credit card, we may bill your account directly and seek payment by another method including a mailed statement.
The risk of loss and title for items purchased by you passes to you upon our delivery of the items to the carrier. Replacement of products and credits to your account for shipped merchandise claimed as not received are subject to our investigation, which may include postal service notification. We will replace products and credit your account at our discretion.
5. Return Policy
Return Policy of Livenrich Brand Products
Allshare guarantees the quality of any product which carries the Livenrich name and certifies that the products manufactured for it meet high standards for customer use. We are confident that our customers will find our products satisfactory in every way. However, if for any reason, a retail customer is not completely satisfied with any Livenrich Brand product purchased directly from Allshare, you may return all unopened Livenrich Brand products within 15 days from receipt for a refund or product exchange. Items that are opened or damaged or do not have a receipt may be denied a refund or exchange.
Return Policy of non-Livenrich Brand Food & Drink Items
Most unopened non-Livenrich Brand Food & Drink items sold by Allshare returned within 15 days will receive a refund or exchange. Some items have a modified return policy noted on the item description. Items that are opened or damaged or do not have a receipt may be denied a refund or exchange.
Return Policy of Other Products
Most unopened Other Products sold by Allshare returned within 15 or 20 days will receive a refund or exchange. Some items have a modified return policy noted on the item description. Items that are opened or damaged or do not have a receipt may be denied a refund or exchange.
Shipping & Handling
Shipping & handling charges are non-refundable, and all refunds will be subject to a 10% restocking fee. All return shipping charges must be prepaid. We do not accept COD deliveries, it will be rejected. Please keep the return tracking information for your records. Allshare is not responsible for lost or stolen packages. Refunds and exchanges may be obtained by calling 646-613-1388. Please allow 1-5 business days for return process. This guarantee is limited, subject to Section 6 of this Agreement, only by the terms of certain specific warranties attached to or packaged with certain products and does not apply to any product intentionally damaged or misused.
6. Disclaimer of Warranties; Limitation of Liability
THE LAWS OF CERTAIN JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LEGAL WARRANTIES, CONDITIONS OR REPRESENTATIONS. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE BELOW EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.
EXCEPT AS OTHERWISE SPECIFICALLY PROVIDED, THE SITE AND THE PRODUCTS OFFERED ON THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS AND WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, UNLESS SPECIFICALLY SET FORTH OTHERWISE. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, THE ALLSHARE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. THE LIVNERICH COMPANY DOES NOT REPRESENT OR WARRANT THAT THE FUNCTIONS CONTAINED ON THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT THE DEFECTS WILL BE CORRECTED OR THAT THE SITE OR THE SERVER THAT MAKES THE SITE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE ALLSHARE COMPANY DOES NOT MAKE ANY WARRANTIES OR REPRESENTATIONS REGARDING THE USE OF THE MATERIALS ON THE SITE IN TERMS OF THEIR CORRECTNESS, ACCURACY, ADEQUACY, USEFULNESS, TIMELINESS, RELIABILITY OR OTHERWISE.
THE LAWS OF CERTAIN JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY OR CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE BELOW LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.
THE ALLSHARE COMPANY SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, OR THE INABILITY TO USE, THE SITE OR MATERIALS ON THE SITE, EVEN IF THE ALLSHARE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7. Typographical Errors
In the event a product is listed at an incorrect price or with incorrect information due to typographical error or error in pricing or product information received from our suppliers, we have the right to refuse or cancel any orders placed for product listed at the incorrect price, whether or not the order has been confirmed and your bank or credit card charged. If your bank or credit card has already been charged for the purchase and your order is canceled, we will immediately issue a credit to your bank or credit card account in the amount of the charge.
8. Copyright
The technology underlying the Site and the entire contents of the Site including, but not limited to, text, graphics, images, photographs, audio and video clips, digital downloads, data compilation or code is copyrighted under the United States and other copyright laws, and is the property of The Allshare Company and protected by copyright and other intellectual property or proprietary rights. 9. Trademarks
All trademarks, service marks and trade names of The Allshare Company on the Site are trademarks or registered trademarks of The Allshare Company or their respective owners. Our trademarks may not be used in any manner for any purpose without our express written consent.
10. Indemnification
BY USING THIS SITE YOU AGREE TO INDEMNIFY, DEFEND AND HOLD THE RELEASED PARTIES HARMLESS FROM AND AGAINST ANY THIRD PARTY CLAIMS, ALLEGED CLAIMS, DEMANDS, CAUSES OF ACTION, JUDGMENTS, DAMAGES, LOSSES, LIABILITIES, AND ALL COSTS AND EXPENSES OF DEFENSE, INCLUDING, WITHOUT LIMITATION, REASONABLE ATTORNEYS' FEES, ARISING OUT OF OR RELATING TO: YOUR BREACH OF YOUR REPRESENTATIONS, WARRANTIES, COVENANTS OR AGREEMENTS HEREUNDER; YOUR VIOLATION OF THIS AGREEMENT OR ANY LAW; YOUR USE OF THIS SITE AND/OR THE MATERIAL IN VIOLATION OF THIS AGREEMENT; INFORMATION OR MATERIAL POSTED OR TRANSMITTED THROUGH YOUR COMPUTER OR MEMBERSHIP ACCOUNT, EVEN IF NOT SUBMITTED BY YOU, THAT INFRINGES ANY COPYRIGHT, TRADEMARK, TRADE SECRET, TRADE DRESS, PATENT, PUBLICITY, PRIVACY OR OTHER RIGHT OF ANY PERSON OR DEFAMES ANY PERSON; ANY MISREPRESENTATION MADE BY YOU; AND/OR OUR USE OF YOUR INFORMATION. YOU WILL COOPERATE AS FULLY AND AS REASONABLY REQUIRED IN COMPANY'S DEFENSE OF ANY CLAIM. COMPANY RESERVES THE RIGHT, AT ITS OWN EXPENSE, TO ASSUME THE EXCLUSIVE DEFENSE AND CONTROL OF ANY MATTER OTHERWISE SUBJECT TO INDEMNIFICATION BY YOU, AND YOU SHALL NOT IN ANY EVENT SETTLE ANY SUCH MATTER WITHOUT OUR WRITTEN CONSENT, SUBJECT TO SECTION 6 OF THIS AGREEMENT.
11. Termination; Modification
We will determine, subject to Section 6 of this Agreement, your compliance with this Agreement in our sole discretion and our decision shall be final and binding. Any violation of this Agreement may result in restrictions on your access to all or part of the Site and may be referred to law enforcement authorities. No waiver of any of this Agreement shall be of any force or effect unless made in writing and signed by a duly authorized officer of Allshare. We reserve the right to modify or discontinue this Site, or any portion thereof without notice to you or any third party. Upon termination of your membership, or access to the Site, or upon demand by Allshare, you must destroy all materials obtained from this Site and all related documentation and all copies and installations thereof. You are advised that we will aggressively enforce our rights to the fullest extent of the law.
If any provision of this Agreement is found to be invalid by any court having competent jurisdiction, the invalidity of such provision will not affect the validity of the remaining provisions of this Agreement, which will remain in full force and effect. The section titles in this Agreement are for your convenience only and do not have any legal or contractual effect.
12. United States Law
We operate the Site in the United States. Information contained on this Site may not be appropriate or available for use in other locations, and access to this Site from territories where the content of the Site may be illegal is prohibited. If you choose to access the Site or other Offerings from locations outside of the United States, you are responsible for compliance with local laws if, and to the extent that, such local laws are applicable.
We reserve the right, in our sole discretion, to limit the availability of the Site or other Offerings to any person, geographic area or jurisdiction at any time.
13. Choice of Law and Venue
The laws of the United States, State of New York apply to this Agreement (without regard to New York’s conflict of law principles that would cause the application of any other jurisdiction's laws) and will specifically not be governed by the United Nations Conventions on Contracts for the International Sale of Goods, if otherwise applicable. Any dispute between you and us must be brought before state or federal courts located in Queens County, New York within ninety (90) days after the occurrence of the facts giving rise to the cause of action, otherwise the cause shall be forever barred. You hereby consent and submit to the exclusive personal jurisdiction and venue of the courts located in Queens, New York for any cause of action relating to or arising under this Agreement or the Site. This Section 13 applies subject to the provisions of Section 6 of this Agreement.

Reward Point Terms & Conditions for the Allshare Services
Inviting friends and earning rewards
When you sign up at www.allshare.life, you automatically enrolled as a General Member (“GM” thereafter) of The Allshare Company. As of an GM, you can invite friends to register for an account at www.allshare.life, and you will receive a referral credit (name “Reward Points”) for each friend or family member who makes a qualified first purchase. Your friend or family member must be a new member of The Allshare Company for this offer.
You will only receive a Reward Point from your friend or family member's first qualified purchase if the purchase was a result of an invite from you via an authorized referral method. If your friend or family member does not click on the personal referral link in their invite email or other invite mechanism to accept your invitation, you may not receive a Reward Point and we will have no liability to you because there is no discernible way to identify that the purchase resulted from your referral.
You may earn referral credit from different products in two ways. As a GM, you may earn 10% referral credits from qualified purchases on all Livenrich Brand products to the maximum amount equal to 1000 product points1 (maximum $100 USD for one referral), and 1% from qualified purchases on non-Livenrich Brand products.
When you upgrade your membership to an Executive Member (“EM” thereafter), your Reward Point will be increased to a maximum of 20% of a qualified first purchase on Livenrich Brand products, which entitled to a maximum amount of $200 USD per single referral. The non-Livenrich products will earn you a 2% Reward Points.
When you upgrade your membership to an VIP Member (“VIP” thereafter), your Reward Point will be increased to a maximum of 30% of a qualified first purchase on Livenrich Brand products, which entitled to a maximum amount of $300 USD per single referral. The non-Livenrich products will earn you a 3% Reward Points.
For purchases of your returning GM or EM members, you can still earn reward points in the maximum amount of $100 USD per single qualified purchase on Livenrich Brand products and 1% on non-Livenrich brand products while you are in GM status, maximum $200 USD and 2% respectively while you are in EM status, and maximum $300 USD and 3% respectively while you are in VIP status. This referral-related Reward Point offer excludes purchases of returning or existing VIP.
A qualified purchase on Livenrich Brand products is considered a purchase on Livenrich brand products or a subscription Bundle order, excluding purchases paid by E points. A qualified purchase on non-Livenrich brand products excludes tax, shipping & other fees. There is no limit to the amount of Reward Points you can earn, and Reward Points will accrue with every eligible friend or family member you refer. You can track your Reward Points by visiting the Invites section in My Account on www.allshare.life.
If two people refer the same friend or family member, the member who sent the link that is used to create the new member's account will be considered the referring member, regardless of which link was sent to the new member first. There is a limit of one referral credit per new email address that is registered on www.allshare.life.
You may not use spam or send unsolicited emails to people that are not your friends or family members in order to collect referral credits and you may not collect referral credits by posting on message boards or other online venues in violation of such venues' terms of use.

Spending Reward Points on the Allshare Services
Reward Points are valid for 12 months from issuance. You can choose to redeem your reward points with company issued checks by providing your tax identification. Redeemed checks will be mailed out to your address on file on the 20th of the following calendar month after you applied. For checks without tax identification, there will be a 30% withhold for tax purpose. You will be responsible for all your taxes filing. You can also apply your reward points to your purchases at checkout in the order in which they expire (i.e., first to expire will be applied first).
You can check the amount of Reward Points you have earned and their associated expiration dates at any time by visiting the Reward Points section in My Account.
Prohibitions and Cancellation
Reward Points are issued to a single www.allshare.life account holder at our discretion and cannot be transferred between accounts or between users. Reward Points cannot be bartered, exchanged or sold.
We reserve the right to limit or cancel your Reward Points in our sole discretion if we determine that you have violated these Terms of Service, including through fraudulent or misleading referral activity (for example, by inviting fake people or individuals with whom you do not have a personal of family relationship to join the Allshare company, using false names, impersonating another person or otherwise providing false or misleading information to us) or if we terminate your account for any reason. You may also be liable for civil and/or criminal penalties under applicable law.
Changes to Reward Point Terms
We reserve the right in our sole discretion at any time and without prior notice to you, to add to, remove or otherwise change the terms applicable to the issuance and use of Reward Points. Such changes may include, without limitation, how you may earn and spend Reward Points, how long Reward Points last, minimum purchase amounts with which Reward Points may be used and the lifetime maximum amount of Reward Points that you may earn.

E-Point Terms & Conditions for the Allshare Services
Overall Policies
Allshare E-Point Cards (“E Cards”) and E Point and their use on www.allshare.life are subject to the Allshare Company’s Terms of Service and Privacy Policy.
Purchase
E Cards are available in any denomination between $1.00-$5000.00 USD. The amount of the E Cards that you purchase will be charged to your bank or credit card upon your confirmation and submission of the order. After purchase of E Card, the value of the E card will automatically add to the E Point balance in My Account.
Redemption
To make a purchase with a Allshare E Point, the E Point holder must register an account with the Allshare Company and must visit www.allshare.life to redeem the E Point toward the purchase of eligible products from the Allshare Company. Each purchase amount will be deducted from the E Point total credit balance until the balance equals zero. If an order exceeds the amount of total available credit on the E Point, the remaining balance must be paid with a bank and credit card.
Expiration
Your Allshare E Point have no expiration date.
Limitations
Purchases with E Points will not produce any Reward Points. E Points cannot be used to purchase other Allshare E Cards or non-Livenrich Brand products. E Points cannot be reloaded, resold, transferred for value, redeemed for cash or applied to any other account, unless otherwise required by law.
Refunds
E Cards are non-refundable. Purchases of items from www.allshare.life paid by E Points can be returned with credits back to your E Point balance in your account pursuant to our return policies set forth in this policy and elsewhere.
Limitation of Liability
